Reg FD...Fair Disclosure or Foggy Distortion

The intent... On August 15, 2000, the SEC adopted Reg FD (Fair Disclosure) to address the selective disclosure by issuers of publicly traded securities of material nonpublic information to certain individuals—e.g., sell-side stock analysts and large holders of the issuers’ securities—who then have the opportunity to trade on the basis of such information before it becomes public. Reg FD was one of several measures adopted by government regulatory agencies and securities industry self-regulatory organizations in the wake of Internet/tech meltdown... Full article
